By accessing our website, requesting a quote, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

These terms may be updated from time to time, and continued use of our services constitutes acceptance of any modifications.

2. Our Services

2.1 Service Offerings

Orange Frog Studios provides the following services:

  • Website Design: Custom website design and user interface development
  • Web Development: Custom programming, web applications, and technical solutions
  • SEO Services: Search engine optimization and digital marketing
  • Website Maintenance: Ongoing support, updates, and technical maintenance
  • Consultation: Technical advice and project planning

2.2 Service Scope

All services will be provided according to the specifications agreed upon in writing (project proposal, contract, or statement of work). Any changes to the agreed scope may result in additional charges and timeline adjustments.

2.3 Third-Party Services

Some projects may require third-party services (hosting, domains, APIs, software licenses). These are not included in our fees unless explicitly stated and may be subject to separate terms and conditions.

3. Client Obligations

3.1 Content and Materials

You are responsible for providing:

  • All text content, images, and media required for the project
  • Necessary access credentials and permissions
  • Timely feedback and approvals as outlined in project timelines
  • Accurate information about your business and requirements

3.2 Content Rights and Legality

You warrant that:

  • You own or have the right to use all content provided
  • All content is legal and does not infringe on any third-party rights
  • Content complies with all applicable laws and regulations
  • You will not use our services for any illegal or harmful purposes

3.3 Communication and Cooperation

Successful project completion requires your active participation. Delays in providing materials, feedback, or decisions may impact project timelines and costs.

4. Payment Terms

4.1 Pricing and Quotes

All quotes are valid for 30 days unless otherwise specified. Prices are in British Pounds (GBP) and include VAT where applicable.

4.2 Payment Schedule

Payment terms are as follows:

  • Small Projects (under £2,000): 50% deposit, 50% on completion
  • Medium Projects (£2,000-£10,000): 40% deposit, 30% at midpoint, 30% on completion
  • Large Projects (over £10,000): Custom payment schedule agreed in writing
  • Maintenance Services: Monthly billing in advance

4.3 Late Payments

Invoices are due within 14 days of issue. Late payments may incur a 1.5% monthly charge and may result in suspension of services until payment is received.

4.4 Additional Work

Work beyond the agreed scope will be charged at our standard hourly rates. Additional work requires written approval before proceeding.

Important Payment Information

Work cannot commence until the initial deposit is received. Final deliverables will be provided upon receipt of final payment. All payments are non-refundable except as outlined in our cancellation policy.

5. Project Process

5.1 Timeline

Project timelines are estimates based on the agreed scope and your timely provision of materials and feedback. Delays caused by client factors may extend timelines.

5.2 Revisions

Minor revisions are included as specified in each project proposal. Major changes may be considered additional work and charged accordingly.

5.3 Approval Process

Client approval is required at key project milestones. Lack of response within 7 business days will be considered approval to proceed.

5.4 Testing and Launch

We provide testing on standard browsers and devices. Extensive browser compatibility testing or device-specific optimization may incur additional charges.

6. Intellectual Property

6.1 Client Ownership

Upon full payment, you will own:

  • Custom design elements created specifically for your project
  • Custom code written specifically for your project
  • All content you provided

6.2 Orange Frog Studios Ownership

We retain ownership of:

  • General methodologies, techniques, and know-how
  • Reusable code libraries and frameworks
  • Template designs and pre-existing assets
  • Third-party software, plugins, and services

6.3 Portfolio Rights

We reserve the right to display completed work in our portfolio and marketing materials unless a confidentiality agreement specifies otherwise.

6.4 Third-Party Content

You are responsible for obtaining proper licenses for any third-party content, fonts, images, or software used in your project.

7. Warranties & Support

7.1 Warranty Period

We provide a 30-day warranty on completed work covering:

  • Bugs in custom code we developed
  • Technical issues directly related to our work
  • Website functionality issues on standard browsers

7.2 Warranty Exclusions

The warranty does not cover:

  • Issues caused by third-party services or hosting
  • Problems resulting from client modifications
  • Compatibility with future software updates
  • Content updates or design changes

7.3 Ongoing Support

Post-warranty support and maintenance services are available separately. We recommend ongoing maintenance for optimal performance and security.

8. Limitations of Liability

8.1 Service Availability

While we strive for continuous service availability, we cannot guarantee uninterrupted access to websites or services due to factors beyond our control including hosting issues, internet connectivity, or third-party service outages.

8.2 Liability Limitation

Our liability is limited to the total amount paid for services. We are not liable for:

  • Lost profits or business opportunities
  • Data loss or corruption
  • Third-party actions or failures
  • Consequential or indirect damages

8.3 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, or pandemics.

9. Termination

9.1 Client Termination

You may terminate the project at any time with 7 days written notice. You will be charged for all work completed to date and any non-refundable expenses incurred.

9.2 Our Termination Rights

We may terminate the project if:

  • Payment is more than 30 days overdue
  • You breach these terms of service
  • You request illegal or unethical work
  • The project becomes technically unfeasible

9.3 Effect of Termination

Upon termination, we will provide all completed work upon receipt of payment for services rendered. Ongoing service obligations will cease immediately.

10. Dispute Resolution

10.1 Good Faith Resolution

We are committed to resolving any disputes fairly and quickly. Please contact us directly to discuss any concerns before pursuing formal legal action.

10.2 Mediation

If direct negotiation fails, disputes may be resolved through mediation before pursuing litigation. Both parties agree to participate in good faith mediation efforts.

10.3 Jurisdiction

Any legal proceedings will be conducted in the courts of England and Wales, specifically in Newcastle upon Tyne where practical.

11. Governing Law

These Terms of Service are governed by the laws of England and Wales. Any disputes will be resolved according to English law.

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

These terms constitute the entire agreement between the parties and supersede all prior communications and agreements.
